These terms govern the working relationship between Web Alchemy HQ Limited (company number 07653975, registered address 210, 12 Manestys Lane, Liverpool, Merseyside, L1 3DT) (“Web Alchemy”, “we”) and any client we provide marketing services to (“you”), including your use of the client portal at portal.webalchemyhq.com. Where anything in your individual proposal, contract or statement of work conflicts with these terms, that document takes priority.
We provide fractional marketing services as set out in your proposal or contract with us - this may include, depending on what you’ve engaged us for, campaign management, reporting, content, and related advisory work. The client portal is provided as part of that engagement, giving you access to your project status, approvals, files, invoices, meetings and reporting in one place.
Fees are as set out in your individual proposal, contract, or the billing schedule agreed with you. Invoices are issued and payable on the terms stated on each invoice. We reserve the right to pause work, and to suspend portal access, where payment is significantly overdue and we’ve given reasonable notice.
To deliver the work on schedule, we rely on you to provide timely feedback and approvals, accurate information about your business, and access to any accounts, platforms or assets the work requires. Delays on your side may affect our ability to meet agreed timelines.
Once you’ve paid in full for a piece of work, ownership of that deliverable (e.g. campaign assets, copy, designs created specifically for you) transfers to you, unless your contract says otherwise. Our own pre-existing tools, templates, processes and methodology remain our property, and we may reuse general, non-confidential knowledge gained while working with you in future work for other clients.
Each of us agrees to keep the other’s confidential business information private, and to only use it for the purpose of our engagement. This continues to apply after our engagement ends.
We handle personal data in line with our Privacy Policy and UK GDPR. Where we process personal data on your behalf as part of the services (for example, contact details of your customers or leads), we’ll only use it as instructed by you and for the purposes of the engagement.
Marketing results depend on many factors outside our control (market conditions, platform algorithm changes, your own sales process, and more), so we don’t guarantee specific outcomes such as rankings, lead volumes or revenue. Except for anything that can’t be limited by law (such as liability for death, personal injury, or fraud), our liability to you for any claim arising from our services is limited to the fees you’ve paid us in the 12 months before the claim arose, and we’re not liable for indirect or consequential losses.
Our engagement runs for the term agreed in your contract. Either of us may end it by giving the notice period stated there, or immediately if the other party is in serious or repeated breach of these terms. On termination, outstanding invoices for work already carried out remain payable, and we’ll disable portal access for your account.
These terms are governed by the law of England and Wales, and any dispute will be handled by the courts of England and Wales.
We may update these terms from time to time; the date at the top shows when they were last revised. Continued use of the portal after an update means you accept the revised terms.
